Why use EV/EBITDA instead of P/E?

EV/EBITDA is capital-structure-neutral — it doesn't get distorted by differences in leverage or tax rates across companies the way P/E does, since EBITDA sits above interest and taxes. P/E is still useful when comparing companies with genuinely similar capital structures, or in sectors like financial services where EBITDA isn't a meaningful metric at all.

How do you handle outliers in a comp set?

Investigate why the multiple is an outlier before deciding what to do about it — a depressed multiple might reflect a real risk (customer concentration, pending litigation) that should stay in the set as a data point, or it might reflect a one-time event that justifies exclusion. Blindly dropping the highest and lowest multiples without understanding why is the wrong instinct.
